Overview
Companies and LLPs registered with the Ministry of Corporate Affairs must make annual and event-based filings with the Registrar of Companies (ROC). These apply even if the business had no activity in the year.
For companies, annual compliance includes board meetings, statutory audit, the Annual General Meeting, filing of financial statements (AOC-4), the annual return (MGT-7 or MGT-7A) and director KYC. LLPs file Form 8 and Form 11 and complete partner KYC.
Event-based filings are triggered by changes — appointing or removing directors, changing the registered office, increasing share capital, allotting shares and more.
