Registering a company or LLP is the start, not the end. Every year, there are filings to make with the Registrar of Companies (ROC) through the Ministry of Corporate Affairs portal — whether or not the business had any activity.
For private limited companies
- Board meetings held and minuted through the year
- Statutory audit of the financial statements
- Annual General Meeting (AGM)
- Filing of financial statements (Form AOC-4)
- Filing of the annual return (Form MGT-7 or MGT-7A)
- Annual KYC of directors (DIR-3 KYC)
- Event-based filings — for changes in directors, share capital, registered office and more
For LLPs
- Statement of Account and Solvency (Form 8)
- Annual Return (Form 11)
- KYC of designated partners
- Event-based filings for changes in partners or the LLP agreement
Due dates are linked to the financial year end and, for companies, to the AGM date. The MCA notifies them and occasionally extends them, so keep an eye on official updates.
Why it matters
Late filings attract additional fees that accumulate daily, and prolonged non-compliance can lead to directors being disqualified or the company being struck off. Clean compliance also matters when you apply for loans or raise funds.
